Service-specific terms for consultancy, migrations, web design, development and project work. Sections 6 (Charges and payment), 7 (Renewals and price changes), 8 (Suspension and termination) and 10 (Liability) of the Master Services Agreement apply to this Schedule.
1. Scope
1.1This Schedule applies to professional services supplied by Hosting UK, including consultancy, migrations, project work, website design, website development, configuration, remediation and technical assistance.
1.2Professional Services are supplied in addition to Hosting UK's standard hosting and infrastructure services.
2. Statements of work
2.1Professional Services may be described in a statement of work, quotation, ticket, email, proposal, order or other written instruction accepted by Hosting UK.
2.2The scope of Professional Services is limited to the work expressly agreed in writing.
3. Customer dependencies
3.1The Customer shall provide timely access, information, credentials, content, approvals, decisions and co-operation required for Hosting UK to perform the Professional Services.
3.2Hosting UK is not responsible for delay, additional cost or failure caused by Customer delay, inaccurate information, missing content or failure to provide required access.
4. Estimates and timescales
4.1Timescales, effort estimates and completion dates are estimates unless expressly agreed as fixed in writing.
4.2Hosting UK may revise estimates where assumptions prove incorrect, requirements change, third-party issues arise or Customer dependencies are not met.
5. Change control
5.1Any work outside the agreed scope is a change request.
5.2Hosting UK may decline a change request or provide a revised quotation, timetable and scope.
5.3Hosting UK is not required to commence change request work until it has been accepted and any required payment has been made.
6. Acceptance
6.1Where deliverables are provided, the Customer shall review them promptly and notify Hosting UK of any material non-conformity with the agreed scope.
6.2Deliverables shall be deemed accepted if the Customer uses them in production, approves them, fails to reject them within seven (7) days, or delays review without reasonable cause.
7. Fees and payment
7.1Professional Services may be charged on a fixed-fee, time-and-materials, stage-payment or recurring basis.
7.2Unless otherwise agreed, Professional Services are chargeable at Hosting UK's then-current administration or professional services rate.
7.3Hosting UK may require advance payment before commencing Professional Services.
8. Website design
8.1The Customer shall pay the advance payment specified by Hosting UK before Services commence. The advance payment is non-refundable except where required by law.
8.2Upon completion of the initial website setup, Hosting UK will notify the Customer that the website is ready for content input. The remaining balance shall be paid within seven (7) days of such notification.
8.3Where the Customer has provided card details, Hosting UK may charge any outstanding sums due to the card on file.
8.4The Customer shall provide all required content, information and materials within seven (7) days of request.
8.5Failure to provide required content, information and materials within the specified timescales may result in termination of the engagement and the Customer shall remain liable for all costs incurred up to the date of termination.
8.6Any refunds shall be at Hosting UK's discretion, except where the Customer has statutory rights which cannot be excluded.
8.7Following completion of the website in the development environment, Hosting UK will contact the Customer to arrange publication.
8.8If no response is received within six (6) weeks of being contacted to arrange publication, Hosting UK may publish a holding page and charge a reactivation fee of £175 plus VAT to recommence work.
8.9Any updates or changes made by the Customer or third parties following launch, including plugins, versions, custom code or widgets, that render the website unstable or unmanageable may result in additional charges.
8.10Hosting UK accepts no liability for issues arising from modifications made by the Customer or third parties after launch.
8.11The Customer shall notify Hosting UK of any requested amendments within seven (7) days of being notified that the website is ready for review.
8.12Reasonable amendments may be carried out without additional charge at Hosting UK's discretion. Material changes or additional work will be chargeable.
8.13Hosting UK reserves the right to commence legal proceedings to recover unpaid amounts.
8.14Hosting UK may offer staged payments at its discretion. Any such arrangement shall be agreed before Services commence.
8.15The Monthly Design Update Package has a minimum term of four (4) months, excludes the creation of new pages and will only commence once deliverables and timescales have been agreed.
8.16Changes under the Monthly Design Update Package will only be published following Customer approval.
8.17All intellectual property rights in the website, code and deliverables remain vested in Hosting UK until all fees have been paid in full.
8.18Unless expressly agreed, source files, design files and repositories are excluded from the Services.
8.19The website may incorporate third-party software, plugins, themes, fonts or APIs which remain subject to their own licence terms.
8.20The Customer warrants that all content and materials supplied are owned by them or properly licensed.
8.21The Customer agrees to indemnify Hosting UK against claims arising from the use of content and materials supplied by the Customer.
8.22The website shall be deemed accepted if the Customer does not report material defects within seven (7) days of notification that the website is ready for review.
8.23Projects that remain inactive for more than thirty (30) days due to Customer delay may be archived and may be subject to recommencement charges.
8.24Unless otherwise agreed, Hosting UK may reference the completed project in its portfolio and marketing materials.
8.25Hosting UK may utilise AI-assisted development tools in the provision of Services and does not warrant that AI-generated content or code is entirely free from defects or third-party intellectual property claims.
8.26Customers operating ecommerce websites should review our PCI DSS and Payment Card Compliance Policy, which forms part of these Terms.
9. Migrations
9.1Migration services are provided on a reasonable endeavours basis only.
9.2Hosting UK does not guarantee that any migration will be successful, complete, error-free or free from downtime.
9.3Migration estimates may change following discovery, pre-migration survey, compatibility checks or third-party platform restrictions.
10. Intellectual property
10.1Unless otherwise agreed, Hosting UK retains ownership of its pre-existing tools, templates, methods, know-how, scripts and materials.
10.2On full payment, the Customer receives a licence to use deliverables created specifically for the Customer for the purpose for which they were supplied.
10.3Third-party software, stock assets, plugins, themes, fonts and licences remain subject to their own licence terms.
11. Exclusions
11.1Professional Services do not include legal, tax, regulatory, security audit, penetration testing, accessibility certification or compliance advice unless expressly agreed in writing.
11.2Hosting UK is not responsible for Customer content, claims, regulatory compliance, intellectual property clearance, marketing performance or business results arising from Professional Services.
